This is a basic International Sales Agreement template for a transaction between a domestic U.S. seller and a purchaser located in a foreign country. This form is drafted from the perspective and for the benefit of the seller.  It covers the terms and conditions of purchases and sales to be made over an extended period of time (e.g., one year). Several of the provisions included in the template are similar to those that would be found in a sales agreement between two domestic parties. However, this international agreement contains important language regarding the foreign buyer’s compliance with applicable laws relating to international transactions, and contemplates arbitration of disputes that may arise between the parties.
