This template can be used for companies who want additional legal protection from the actions of its agents (i.e., individuals or organizations who act on behalf of the company, but whom the company may not have significant control over).  This template helps to protect against liabilities for attorneys’ fees, judgments, and settlement payments arising out of the agent’s service to the company, in the event of a civil action against the agent or the corporation.
