An NDA/Confidentiality Agreement is important to protect confidential information from falling into the hands of unauthorized third parties. This agreement is typically used any time confidential information is disclosed between parties.

An NDA can be unilateral or mutual. Regardless of the perspective, it is best to have this agreement signed by all parties involved prior to conducting any business or communication that involves sensitive information.
